7 Your faves of the 6th inst received. Your very kind explana-~ tory letter has been carefully gone over. There is no objection that I know of as to changing the Beeee of elevator to 50 ft. per mimte. instead of 150 ft. which we are at present running,if you are satisfied it will do our work.
I do not think there is any possibility of gatting any rope to stand this tramenteiia weight Leaving or taking the ore in these buckets into consideration. It does geem to me that if we could get steel buckets that would weigh about one quarter of what these iron ones weigh it would stand the load these carry.

Mr. W.:S. Mallory. ee Dear Sir:-- With this, I attach a report of Mr. Elliott, regard... ' ing the titie,etc. of the land at Iona Island. Iona Island is the name of the station on the West Shore Radlroad. Whe land is on the main line on the east side of the Hudson and on the north side of a large hill. Mr. Daniel Herbert of Iona Island stands ready to pay one third of the money he receives for hoop poles and have the money remitted directly to Mr. Bdison by the parties to whom he consigns the poles in New York.
Mr. Woolcock approves of Mr. Herbert's proposition as the best one and the arrangement can be closed with Mr. Herbert if Mr. Edison approves of it.
Mr. Howard Scandell, of Iona Island will pay $21.00 per cord for the wood cut and would want five years in which to cut the wood. This seems to be a good price for the wood, #8 it will cost a good deal to take 14 away from the land. I recommend that Mr. Scandell's proposition be accepted and that Mr. Woolcock and I be authorized to arrange with Mr. Scandell regarding cutting. I yesterday went to Jersey City and attended at the argument of the exceptions to Mr. Edison's claim in the N. J. & P. C. Works matter. Mr. Enright made three points. .
His first point was that Mr. Edison had agreed to accept stock of the Company in payment of the moneys advanced by him, and that even though the stock had not in fact heen issued to him, his control of the Company was such that he could have brought about its issuance to hin, and that he ig therefore bound by this agreement.
I think the complete answer to this is that there is no such agreement to be found in the evidence. You will remember that you testi- fied expressly in relation to the conversation between Mr. Edison and Mr. Cutting in 1893 that there was no mention made by Mr. Cutting of the reimbursement to Mr. Edison of stock of the Company. Enright attempts to rely on that statement in the books where the amount of stock stated to be issued to Mr. Edison was in excess of the actual amount iasued and outstanding. He seems to think that this is evidential of the under- standing of the parties as he claims it was, but I do not think it bears out his contention. ae
_The second point was that the claim is barred by the statute of Limitations for the reason that the money was advanced for the purpose of keeping the concern going, but was advanced under the arrangement which “you made with Mr. Edison. to borrow from him such sums from-time to time |

as were necessary to pay off the creditors and to reimburse him out of the funds which were realized in the dismantling of the plant. The answer to that, I think, is that a valid distinction in law cannot be made between money loaned to keep the plant in operation as distinguished from money loaned to pay the creditors, and I do not think the receiver takes much stock in this point.
The third and last point was that when the Company became prac- tically insolvent in 1901 and you and Mr. Edison proceeded to have the plant dismantled, and the property sold, you were acting without any authority from the board of directors and that this fact requires Mr. Edison to first account for the proceeds, or otherwise satisfy the stock~
holders that the dismantling was the best course to pursue, and that the
moneys received therefor were the best figures obtainable, and were properly
applied, before he is entitled to present a claim as a creditor against
the Company. This is undoubtedly the most serious point which he raised. _ The weakness, if any, is inherent iwxmxauk in the facts and is not one
which can be corrected. I propose to examine into this question care~ fully as to the law and file.a brief with the receiver. In connection with this brief I will cover the other points also, although I do not think they are so serious as this one. .

Your Mr. Dyke has requested us to report fully to you on the situation in connection with the N. J. & Ps OC. Works matter.
The bill of complaint by which a receiver was appointed in this matter was filed by certain stockholders of the Company. Aside from the stockholders the sole’creditor is Mr. Edison, all the other creditors having been paid off from time to time by moneys advanced for that pur- pose by Mr. Edison. Following the appointment of a Receiver, we filed with him two separate claims on behalf of Mr, Edison. One claim was represented by promissory notes to the Company, arid aggregated some $334,000. The other claim was represented by a book account, ‘and aggre= gated over $182,000. At the time we filed the claims, the notes were all outlawed under the statute of limitutions, having been made more than six years previous.
Under the provisions of our Corporation Act (Sec. 71) the com- plainant requested the receiver to take evidence respecting the affairs and transactions of the company, and its estate, and the liability and Claims ageinst them... Mr. Mallory accordingly was sworn as a witness, and testified a number of times before the Receiver, the books of the Company were fue in evidence, BNGs ¢ In connection with these proceedings, the

that he would have to disallow that claim because of this fact. We understand that this disallowance practically makes no difference to Mr. Edison, for the reason that If the claim on the book account is allowed, there are not sufficient assets in the estate to pay even that claim, 80 the loss of the claim on the notes is no real loss.
The objections against the claim onthe bock account are chief~ ly three: ,
First, that it is barred by the statute of limitations, on the ground that the money was loaned to pay the creditors. of the Company, and not to keep the Company operating as a going concern. We do not think
‘that this objection is well taken, or that the distination is a sound one,
Second, that Mr. Edison agreed to take stock of the Company in payment of the moneys advanced by him. The evidence, however, does not bear out this contention.
‘Third, that Mr. Edison's claim cannot be considered until he has first accounted to the stockholders for the proceeds of the dismantling of the plant in 1901, and satisfied them of the wisdom of that course of procedure.
It seens that in 1901, when the Company became practically in- solvent, Mr. Edison, Mr. Mallory, and Mr. Randolph concluded that the best practical thing to do was to dismantle the vlant and sell the proceeds.
They did this, and raised thereby $175,000. which was devoted to the pay~ .
ment of all the creditors, except Mr. Edison. Undoubtedly, as a matter of fact, the dismantling. was splendidly handled and more money realized .. than seemed possible. The unfortunate part of the proceeding ie, how- ever, that they acted without any authority of the Board of Directors, and without any meeting of the Directors having been called. Mr. En-
right's point therefore is that their proceeding was a high-handed one, .
without any authority of the corporation, and consequently the burden ig on them to vindicate their acts. In this connection, he has served a formal demand on the receiver to institute suity against Mr. Edison, Mr. Mallory, and the Edison Companies, which bought’ some of the machinery of the dismantled plant, for an accounting. The receiver has sent us a copy of this notice, with the request that we advise him of our views in reference to it, and we are accordingly engaged in the preparation of a brief covering all the points raised by Mr. Enright, and hope to be able to convince the receiver that there is nothing in them.
‘The next step, therefore, will be after this brief is filed, for the Receiver to consider the whole matter, and render his decision elther to allow or disallow Mr. Edison's claim, and also whether or not he feels he must institute suits for an accounting. .

of ‘the whole matter. He thinks there is nothing to be taken up
with Mr. Eaison ‘at this time as all the questions involved are questions of law to. be threahed out by the lawyers, ana. there

In a very general way the situation now presented is

The third point is substantially that Mr. Edison partioi- pated in the ‘dismantling and sale of the plant of the Company without authority from the stockholders or Board of Directors, and that he must show that his skirts were clean in that pro- ceeding before he is entitled to come in as a claimant. It is on this point that briefs are to be prepared and submitted,
Mr. Enright has made a formal demand on the receiver
to bring suit against Mr. Faison and Mr. Mallory to make then
account to the estate of the Company for their doings in con- nection with the ‘gnaubhorized destruction and sale of the plant. The receiver is not inqlined to take. this action unless he ig satisfied that the. law forces him to do so, and has asked for Mr. English's views on the question,. and Mr. English also prow poses to submit a brief on this point. |
Mr. English, in his letter, will undoubtedly go more into detail about the matter, and I have attempted to bring out here only the’ more salient points with a view to showing the immediate situation. .
